Growie's legal framework
Is Growie regulated?
Growie Operations, LLC (Growie) operates under the framework of United States securities law. Our investment opportunities are structured as private placements under the Securities Act of 1933 and the regulatory framework of the SEC (Securities and Exchange Commission), relying on the Regulation S exemption, designed for non-U.S. investors; this allows us to open access to investors throughout Latin America and the world.
How is the invested money structured and safeguarded?
Each project is structured through independent investment companies (SPVs): your interest is registered in your name in the project's vehicle, separate from Growie's assets.
The complete legal documentation of each opportunity is available on the platform before you invest.
Who can invest in Growie?
Individuals over 18 who do not reside in and are not located in the United States or Canada. At Growie we verify the identity of every person before they invest (KYC/AML), a few-minute online process that also protects the whole community: only verified people invest.
Each country's regulations may set their own requirements; each investor is responsible for checking those that apply in their jurisdiction.
What happens to my investment if Growie shuts down?
Your investment is not "inside Growie": you are a partner in a specific investment vehicle created for the project. This means it is a separate company where your interest is registered in your name and represented by your tokens. Growie is the platform that operates and manages, but your capital never becomes part of Growie's assets: it goes directly from the vehicle to the project.
That is why, if Growie stopped operating, your interest would still be yours and the project would continue: the asset's returns are paid to the vehicle you are a partner in, never to Growie. In that scenario, the management of the vehicle would pass to a successor manager, who would complete the project cycle and distribute to each investor according to their registered interest.
Your risk lies in the project you invested in, where it should be, and does not depend on the platform's continuity. The risks of your investment are those of any real estate project: the asset's performance, development timelines, the market and the committed term of the investment, among others. All of them are detailed in the documentation of each opportunity before you invest.
